Standard Publisher-Representative Agreement

Highlights
The Publisher retains and appoints the Representative during the term of this Agreement as its sole and exclusive advertising solicitor and representative of the Periodical for the sale of advertising space in the following Territory:( _ ) .
The term of this Agreement shall be for _ years, commencing _ and shall be automatically renewed for similar periods unless written notice of termination be sent by Registered Mail or certified Mail, return receipt requested, by either party to the other not fewer than ninety days prior to the expiration of any such period.
In consideration for the services of the Representative, the Publisher agrees to pay the Representative a commission of 20 percent of the income after deduction of agency commissions, if any, received from advertisers or agencies within the designated Territory, whether obtained by the Representative or Publisher or from any other source or in any other manner.
In the event advertising contracts are received from agencies located within the Territory, for advertisers outside the Territory, or vice versa, such contracts shall be deemed split accounts, upon which commissions shall be paid to the Representative by the Publisher computed at one-half of the commission set forth above.
The Representative shall maintain an office separate from the Publisher and shall bear all expenses and obligations incurred in connection with its solicitation and sale of advertising space in the publication, including travel, entertainment and telephone. The Representative shall not incur any debt, obligation or liability of any kind in the name of, or for, or on account of the Publisher, unless specifically authorized to do so.
Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association and judgment upon the award rendered by the Arbitrators may be entered in any court having jurisdiction thereof.
